SALT TERMS OF SERVICE

01. AGREEMENT TO TERMS

These Terms of Service (“Terms”) govern your access to and use of the SALT platform, products, and services (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

If you are using SALT on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

02. ELIGIBILITY

The Services are intended for use by individuals 18 years of age or older. By using the Services, you represent that you meet this requirement and that your use does not violate any applicable law or regulation.

03. THE SERVICES

SALT provides AI-assisted systems designed to ingest structured inputs and generate, optimise, and manage content, data structures, and outputs for commercial and operational use.

The Services evolve continuously. You acknowledge that features, capabilities, and outputs may change over time as the system is refined.

04. ACCOUNTS & SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

You must notify us immediately of any unauthorised access or suspected security breach. We are not responsible for losses resulting from compromised credentials caused by your failure to maintain reasonable security practices.

05. USER CONTENT

User Content means any data, text, prompts, files, instructions, or other materials you submit to the Services. You retain ownership of your User Content, subject to the licences granted under these Terms.

You represent that you have all necessary rights and permissions to submit User Content and that such content does not infringe the rights of any third party.

06. LICENCE TO USE USER CONTENT

By submitting User Content, you grant Polyphrōn a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, process, transform, analyse, and use such User Content solely for the purposes of:

• Providing and operating the Services
• Generating outputs requested by you
• Maintaining, securing, and improving system performance
• Training, refining, and optimising Polyphrōn’s AI systems and agents

This licence survives termination of your account only to the extent necessary to fulfil the purposes above and to comply with legal obligations.

07. AI TRAINING & DERIVATIVE LEARNINGS

You acknowledge that Polyphrōn’s AI systems may learn from patterns, signals, and characteristics derived from User Content.

Any model improvements, parameters, weights, schemas, abstractions, or derivative learnings resulting from such training are not User Content and are the exclusive intellectual property of Polyphrōn.

The Services do not reproduce User Content verbatim in shared models, nor do they expose proprietary or confidential information to other users.

Where required by applicable law, you may object to the use of your personal data for AI training, subject to the continued availability of core service functionality.

08. OUTPUTS & INTELLECTUAL PROPERTY

Outputs generated specifically for you through the Services are licensed to you for your internal and commercial use, subject to these Terms.

Polyphrōn retains all rights, title, and interest in and to:

• The SALT platform
• Underlying models and systems
• Orchestration logic and workflows
• Training methodologies and schemas

Nothing in these Terms transfers ownership of Polyphrōn’s intellectual property to you.

09. ACCEPTABLE USE

You agree not to:

• Submit unlawful, infringing, or misleading content
• Attempt to reverse-engineer, probe, or exploit the Services
• Interfere with system integrity or security
• Use the Services to violate applicable law or third-party rights

We reserve the right to suspend or terminate access for violations of this section.

10. FEES & BILLING

Certain Services may be offered on a paid basis. You agree to pay all applicable fees, taxes, and charges associated with your use of the Services, as described at the time of purchase or in a separate agreement.

Failure to pay may result in suspension or termination of access.

11. SUSPENSION & TERMINATION

We may suspend or terminate your access to the Services at any time if:

• You breach these Terms
• Your use presents a security or legal risk
• Required by law or regulatory authority

Upon termination, your right to access the Services ceases immediately.

12. DISCLAIMERS

The Services are provided “as is” and “as available”.

To the maximum extent permitted by law, Polyphrōn disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Outputs are generated based on inputs and system logic. You remain responsible for verifying accuracy, compliance, and suitability for your intended use.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Polyphrōn shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to your use of the Services.

Polyphrōn’s total liability under these Terms shall not exceed the fees paid by you to Polyphrōn in the twelve (12) months preceding the claim.

14. INDEMNIFICATION

You agree to indemnify and hold harmless Polyphrōn from any claims, damages, or losses arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms or applicable law

15. MODIFICATIONS

We may update these Terms from time to time. Material changes will be communicated via the Services or other reasonable means.

Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Republic of South Africa.

The courts of the Western Cape, South Africa, shall have exclusive jurisdiction over any disputes arising from these Terms or the Services.
